The agreement behind the agreements

How accounts, plans and documents work, written plainly. The clauses that create binding obligations are marked as awaiting legal review rather than filled with wording nobody has checked.

The sections describing how closeit.fast actually works are accurate and were written against the running product. The genuinely legal clauses are marked as awaiting review and are not yet in force: this document is not a substitute for advice from a lawyer, and it should be reviewed by one before anybody relies on it.

01What this covers

These terms govern the use of closeit.fast: sending documents for electronic signature, collecting those signatures, and the audit trail and certificate of completion produced alongside them.

They apply to the person who holds the account. Recipients who only open a signing link are not parties to this agreement; what they agree to is the electronic signing consent shown before they sign.

02Accounts

An account belongs to one sender and is not a shared seat. You are responsible for what is sent from it, and for keeping access to the email address it is tied to, because access to that inbox is access to the account.

Recipients never need an account and are never charged. They are identified by a single-use link rather than a login.

03Plans, billing and cancellation

The free tier allows 1 envelope per calendar month and does not expire. It produces the same audit trail, the same certificate of completion and the same sealed PDF as the paid plan.

The paid plan is $12 per sender per month, or $72per sender per year. Payments are processed by Stripe. Switching between monthly and yearly, updating a card and cancelling are all done from Billing in the dashboard, which opens Stripe’s own customer portal.

Cancelling ends the plan at the end of the period already paid for, and the account then returns to the free tier rather than being closed. Documents, certificates and audit trails stay in the account and stay downloadable.

04What the service may not be used for

The following are not permitted, and an account doing any of them may be suspended:

  • Sending documents to people who have not agreed to receive them, or using the service for bulk unsolicited email.
  • Uploading content you do not have the right to send, or that is unlawful, fraudulent or deliberately misleading about who is asking for a signature.
  • Impersonating another person or organisation as the sender of an envelope.
  • Attempting to alter, forge or reconstruct an audit trail, a certificate of completion or a sealed document.
  • Uploading protected health information, which the service is not set up to handle.

05Your documents remain yours

Uploading a document to closeit.fast transfers no ownership of it. The only rights taken over it are the ones needed to run the service: storing it, showing it to the recipients you named, rendering your fields onto it, sealing it and letting you download the result.

Your documents are not used to train anything, are not read for advertising, and are not shared with anyone beyond the providers listed in the privacy policy.

07Availability and support

Any uptime commitment, planned-maintenance window, support response time or service credit would be a promise with consequences attached, so none is stated until one has been drafted and can actually be met. Support today is email to hello@closeit.fast, answered by a person.

08Warranties and disclaimers

Awaiting legal review

The warranty position, and the disclaimers around it, need to be drafted by a lawyer. For an e-signature product this clause interacts directly with the enforceability of the documents customers sign, which is exactly why plausible-sounding boilerplate is not good enough here.

09Limitation of liability and indemnity

Liability caps, excluded categories of loss and any indemnity run both ways and are the clauses most likely to be tested. They require drafting against the jurisdiction closeit.fast operates in.

10Suspension and termination

Awaiting legal review

The grounds for suspending or terminating an account, the notice given, and what happens to stored documents and audit trails afterwards need to be set out precisely. As the service behaves today, cancelling a paid plan returns the account to the free tier and removes nothing.

11Governing law, disputes and changes

Governing law, jurisdiction, the dispute resolution route, and how changes to these terms are notified and take effect all require legal drafting before they can be stated.
